Indefinite Payment Addendum

Medication Discount Card LLC (“Company”) and (“Partner”) entered into an agreement dated (the “Agreement”). The parties hereto agree to amend their Agreement as follows:

The term of this Agreement shall be for a period of one (1) year commencing on the latest date entered on the signature page and shall be automatically renewed in one year increments unless earlier terminated in accordance with the terms of the Agreement. It is further understood and agreed that either party may terminate this Agreement with or without cause upon providing a minimum of thirty (30) days advance written notice of its intention to cancel. In the event of any termination of this Agreement including without limitation by expiration of its term or by earlier termination, all compensation to be paid in accordance herewith by Company to Partner for Members who continue to fill prescriptions pursuant to Discount Cards shall continue as long as Company is receiving payment for claims as a direct result of Partner’s prior marketing efforts. For avoidance of doubt, it is the intent of the Parties to this Agreement that, post-termination, cessation or expiration of this Agreement, compensation is still due and payable by Company to Partner for Partner’s members who are still filling prescriptions under this Agreement, even if new members are not being signed up by Partner for membership in the plan contemplated by this Agreement. Partner understands that during this period of time post-termination, cessation or expiration of this Agreement Partner shall abide by all terms of the Agreement other than marketing to new members or payments will cease. Notwithstanding the forgoing, if the Agreement is terminated by Company for cause (including but not limited to negligence or breach of contract by Partner), then: (a) no compensation shall be due Partner; (b) Partner shall be prohibited from any further marketing of the Discount Cards; and (c) Partner shall be liable for any damages resulting therefrom.

All capitalized terms not otherwise defined herein shall have the mean afforded to them in the Agreement. All other terms of the Agreement remain in full force and effect.

IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the day and year written below.
